1. About GridFrame
GridFrame is a product and service of Styps Ltd, a company registered in England and Wales under company number 14183652, with its registered office at 124 City Road, London, EC1V 2NX, United Kingdom. In these terms, “GridFrame”, “we”, “us” and “our” mean Styps Ltd when it supplies a GridFrame product or service.
2. Agreement and authority
These terms apply when you visit GridFrame, buy or download a GridFrame product, use GridFrame documentation or support, or enter a GridFrame service flow. Additional terms may apply to a particular product or service and form part of your agreement with us.
If you accept these terms for a business or another person, you confirm that you have authority to bind them. You must be at least 18 and legally able to enter the agreement.
3. Products and services
GridFrame supplies digital software products including Marcel and Philippe, the Release Web publishing utility, documentation and separately purchased assisted services. The description, compatibility, price and included support shown at checkout form part of the purchase information.
A software purchase grants a licence; it does not transfer ownership of the reusable GridFrame source or brand.
4. Orders, prices and payment
Prices and currencies are shown before payment. Taxes may be calculated at checkout. Polar may act as merchant of record for software purchases and provide payment processing, invoices, tax handling, licence benefits and the customer portal. Stripe may process payments for an approved assisted-service booking. Their own terms and privacy notices also apply to their processing.
An order is accepted when the relevant checkout confirms payment and the product access or booking confirmation is issued. We may decline or refund an order where there is an obvious pricing error, suspected fraud, legal restriction or inability to supply.
5. Digital delivery
Digital products are normally delivered through the purchase confirmation, customer portal or licence benefit described at checkout. You are responsible for using a correct email address and keeping purchase access and licence keys secure.
Where consumer law gives a cancellation right for digital content, the checkout information will explain when that right applies and whether you are asked to consent to immediate supply and acknowledge any effect on that right. Nothing in these terms removes mandatory consumer rights.
6. Product licences
Your permitted use is determined by the product and tier on your order. The current licence documents are:
- Marcel Single-Project Commercial Licence
- Marcel Pro / Agency Licence
- Philippe Single-Project Commercial Licence
- Philippe Pro / Agency Licence
You may not share, resell, redistribute, circumvent or misuse a product, source archive or licence key except as the applicable licence expressly permits.
7. Release Web
Use of the publishing workspace at publish.gridframe.site is also governed by the Release Web Terms. You connect and remain responsible for your own Vercel and provider accounts.
8. Assisted services
An assisted setup or custom service is separate from the software licence. Its scope, price, timing, customer responsibilities, cancellation rules and handover are governed by the service agreement accepted for that booking. Unless that agreement says otherwise, buying a software licence does not include setup work, and buying setup does not expand the software licence.
9. Your responsibilities
You are responsible for choosing a suitable product and tier, following documentation, protecting credentials, testing your project, maintaining backups and third-party accounts, and ensuring your website, products, content and business comply with applicable law. You must have the rights needed for every file, brand, image and item of data you use.
10. Acceptable use
You must not use GridFrame products or services to break the law, distribute malware, infringe rights, access another person’s account, interfere with a service, evade licence restrictions, misrepresent your authority, or publish material you have no right to use.
11. Third-party services
GridFrame products may connect with Polar, Vercel, Cloudflare, Neon, Stripe, Printful, Resend, Cloudinary and other providers. You contract with those providers separately and remain responsible for their plans, charges, verification and configuration. We do not control their availability, terms or policy changes.
12. Updates and support
The updates, documentation and support included with a purchase are those stated on the relevant sales or checkout page. We may improve or change products and documentation. We will not materially reduce rights already granted under a completed purchase without a lawful basis.
13. Intellectual property
Styps Ltd and its licensors retain all rights in GridFrame, Marcel, Philippe, Release Web, the reusable software source, documentation, design and branding. You retain rights in your own content and project-specific work, subject to the applicable product licence and third-party rights.
14. Availability and warranty
We will provide digital content and services with the care and quality required by applicable law. Because source-code products must be configured and rely on changing third-party systems, we do not promise that every modification, provider or deployment will operate without interruption or error.
Nothing in these terms excludes a statutory guarantee or remedy that cannot lawfully be excluded.
15. Liability
Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. For a business customer, to the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill or data. Our aggregate liability relating to a paid product or service will not exceed the amount paid for that product or service during the twelve months before the event giving rise to the claim.
Consumers retain mandatory remedies and protections under applicable law.
16. Suspension and termination
We may restrict access where a licence or payment is invalid, a material breach is not corrected, or use creates a legal, security or operational risk. Any termination effect stated in the applicable product licence or service agreement also applies.
17. Governing law and disputes
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may retain mandatory rights and may be entitled to bring a claim in the courts of the place where they live. Please contact us first so we can try to resolve a concern fairly.
18. Changes and general terms
We may update these terms for future purchases or use. The version and effective date identify the current document. If one provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver of it.
