1. Who grants this licence
This licence is granted by Styps Ltd, a company registered in England and Wales under company number 14183652, trading through its GridFrame product and service, with its registered office at 124 City Road, London, EC1V 2NX, United Kingdom.
“You” means the person or business named on the valid purchase record. If you buy for a business, you confirm that you have authority to accept these terms for that business.
2. The licence
After full payment, GridFrame grants you a non-exclusive, worldwide and continuing commercial licence to download, use and modify Philippe within the limits below. The licence is for one completed portfolio website for your own business or for one client.
This is a licence to use the software. Ownership of Philippe, its reusable source, design system and documentation is not transferred to you.
3. What you may do
- Use Philippe to create one completed portfolio website.
- Change the code, design, content and configuration for each permitted end product.
- Use the end product commercially, including selling products or promoting a business through it.
- Deploy each permitted end product to accounts owned by you or the relevant client.
- Build for one client and hand that client the project-specific finished source needed to operate that single end product. You may not reuse the licence after that handover.
- Allow employees or contractors to work on a permitted project for you, provided they only receive access needed for that work and follow these terms.
4. Project limit
The Standard licence covers one end product only. Staging, preview and production deployments of the same project count as one end product. A redesign, copy or second website for another business, brand, domain or client requires another Standard licence or the Pro / Agency licence.
5. What you may not do
- Resell, redistribute, sublicense, publish or give away Philippe as a template, theme, starter, boilerplate, repository, downloadable archive or source-code product.
- Create a competing product whose main value is the reusable Philippe source, structure, components or documentation.
- Share your original download, private repository access or licence key with anyone except people working on your permitted project under your control.
- Use Philippe in a website builder, template generator, software-development kit or service that lets other people extract or create their own reusable copies.
- Remove copyright or proprietary notices from the original distributed files where they are intended to remain.
- Use one product’s licence key to unlock or publish another GridFrame product.
6. Client work and handover
A client may own its content, domain, service accounts and project-specific custom work. The client receives only the right to operate the finished end product delivered for it. The reusable Philippe source remains licensed under these terms and may not be extracted, resold or reused by the client for another project.
You are responsible for telling each client about restrictions that affect the source files you hand over.
7. Third-party software and content
Philippe may use open-source packages, APIs, fonts, images or services supplied by other providers. Those items remain governed by their own licences and terms. This GridFrame licence does not grant rights to third-party trademarks, customer content, stock media or services.
8. Licence keys and checks
Your licence key is private to your purchase. GridFrame may validate the key, product and tier when you use Release Web. You must not publish, share, sell, alter or circumvent a licence key or a reasonable licence check.
9. Updates and support
The purchase includes only the updates, documentation and support described on the sales or checkout page at the time of purchase. A software licence does not include assisted setup, custom development, ongoing maintenance or third-party subscriptions unless these are purchased separately.
10. Your responsibilities
You are responsible for reviewing and testing each end product, protecting credentials, maintaining service accounts, backing up data, applying appropriate security updates, and meeting the legal, tax, accessibility, privacy, payment and content requirements of the business operating the website.
11. Warranty and liability
Nothing in this licence limits rights or liabilities that cannot lawfully be limited. Subject to those rights, Philippe is supplied as digital source code and must be configured for the intended project. GridFrame does not guarantee uninterrupted third-party services or that every modification, dependency or hosting configuration will work without error.
The limitations in the GridFrame Terms also apply to the purchase and use of Philippe.
12. Ending the licence
The licence ends if you materially breach these terms and do not correct the breach within a reasonable time after notice where it can be corrected. When the licence ends, you must stop creating new end products and delete unauthorised distributable copies. Rights already granted to a compliant client for a finished end product are not ended solely because your separate licence later ends.
13. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may retain mandatory rights and may be entitled to bring a claim in the courts of the place where they live.
