1. The parties and this Agreement
Provider: Styps Ltd, a company registered in England and Wales under company number 14183652, with its registered office at 124 City Road, London, EC1V 2NX, United Kingdom, which provides GridFrame products and services (“GridFrame”, “we”, “us” or “our”).
Customer: the person or business named in the approved booking and Stripe Checkout (“you” or “your”).
This Agreement applies when your approved booking names the Philippe Launch Setup or Philippe Portfolio Setup and links to this Version 1.0. By checking the required Agreement box and completing the first payment, you confirm that you have read, understood and agreed to it. If you accept for a business, you confirm that you may bind that business.
2. Your selected package
Your approved booking identifies one of these packages for one Philippe website:
- Philippe Launch Setup — $599: one deployment to your Vercel account, one Neon connection and included Drizzle database setup, one Cloudinary connection, NextAuth and one administrator, one custom domain, environment configuration, desktop and mobile checks, and a guided handover.
- Philippe Portfolio Setup — $999: everything in Launch Setup, plus up to eight prepared portfolio projects, up to twelve prepared images for each included project, supplied project details, one initial Customizer setup using supplied brand choices, and one reasonable revision to that included content and appearance setup.
The package is a one-time setup for one website. It does not include a Philippe software licence, hosting, domain registration or third-party service charges.
3. Prepared content
“Prepared” means the copy, project details, links, files and brand choices are final, lawful, clearly named, in a usable format and ready to add without creative or editorial work by GridFrame.
You confirm that you own or have permission to use all supplied content, logos, fonts, images, video and other materials. GridFrame may pause or refuse material that appears unlawful, unsafe, misleading or likely to infringe another person’s rights.
4. What is not included
Unless a written change is agreed, the service does not include:
- custom features, new templates or source-code changes;
- repairing a materially altered, incomplete or unsupported Philippe project;
- logo design, graphic design, image editing, video editing or font licensing;
- copywriting, content strategy, translation or search-engine campaigns;
- more than eight prepared projects, more than twelve prepared images per included project or more than one included revision;
- additional domains, websites, environments, administrators or later content updates;
- ongoing maintenance, monitoring, backups or account management; or
- fees charged by Vercel, Neon, Cloudinary, a domain provider or another third party.
An additional prepared project is $65. Other approved technical work is $100 per hour. We will explain the work and price first; it begins only after you approve it in writing.
5. Your responsibilities
You agree to:
- hold the correct Philippe licence for the website;
- provide complete, accurate and prepared information and files;
- create and control the Vercel, Neon, Cloudinary and domain accounts used for the website;
- review requests and approve DNS or provider actions promptly;
- keep independent copies of your source, original media and content;
- review the finished website and report package-related corrections during the review period; and
- pay the agreed amounts when due.
You remain responsible for your website content, legal pages, accessibility, third-party accounts and operation after handover.
6. Safe temporary access
GridFrame uses temporary invitations, limited collaborator roles and temporary credentials. We will never ask for your personal email password, domain-provider password, banking password, one-time code, two-factor code or recovery key.
Invite only and limit access to the Philippe website, project or domain being prepared. When delegated DNS access is unavailable, we may arrange a guided screen-sharing appointment in which you remain signed in and control the keyboard.
After handover, you must remove GridFrame access, delete temporary tokens and rotate any private setting shared for the work.
7. Price and payment
The selected package is paid in two equal instalments:
- Launch Setup: $299.50 to book and $299.50 at Handover Ready.
- Portfolio Setup: $499.50 to book and $499.50 at Handover Ready.
A request or approval email is not a booking. The booking is confirmed only after Stripe confirms the first payment and GridFrame matches it to the Agreement consent record. The second payment is not an automatic card charge; GridFrame sends a separate secure payment request at Handover Ready.
Additional work and third-party fees are separate. Unless the checkout states otherwise, prices are in United States dollars.
8. Cancellation and the 14-day period
GridFrame gives every customer a 14-calendar-day cancellation period beginning when the booking is confirmed. You may cancel during that period by emailing or copying . We will refund the first payment and will not begin substantive setup during this period.
If you separately ask in writing for substantive work to begin early, we will first explain the effect on cancellation and ask for the acknowledgements required by applicable law. If work validly begins and you then cancel, any deduction will be reasonable and proportionate to work actually completed and explained to you.
Nothing in this Agreement removes a consumer right that cannot lawfully be excluded.
9. Setup Ready and timing
“Setup Ready” means the cancellation period has ended and GridFrame has checked the required account access, settings, domain, Philippe project, content and brand files.
Your planned delivery window begins on the Setup Ready date stated in our email. The booking email or Setup Ready email will state the expected window. Dates are estimates where progress depends on customer actions, DNS changes, provider review, service outages or third-party support.
Waiting time caused by missing information, unavailable access, customer changes or third-party delay pauses the planned window. We will tell you what is needed and provide a revised estimate. A substantial delay that cannot reasonably be resolved may allow either party to end the service under section 12.
10. Handover Ready and review
“Handover Ready” means GridFrame has substantially completed and tested the selected package. We will send the website address, a short summary and the secure request for the remaining balance.
You should report package-related corrections within five business days. Portfolio Setup includes one reasonable revision to the included content and starting appearance. A new direction, replacement content, additional projects or custom work is outside the package.
After the final payment clears, we will present the website and Philippe Admin, provide the final handover information and send the access-removal checklist. The service is complete when that handover is delivered, subject to rights that cannot lawfully be excluded.
11. Changes and extra work
A change to the selected package, prepared content, domain, accounts or technical scope may affect the price or date. We will describe any material change in writing. You are not required to buy extra work, and we do not begin chargeable extra work without written approval.
12. Ending the service after the cancellation period
You may ask to end the service by contacting . GridFrame may end it if you materially breach this Agreement, do not provide a required item after reasonable reminders, request unlawful or unsafe work, or make the work impossible to complete.
Where the service ends, we will calculate the amount fairly using work actually completed, approved extra work and non-recoverable third-party charges paid specifically for you. We will provide a written breakdown. Any unused balance will be refunded; any amount properly due remains payable. We will not automatically keep the full first payment regardless of the work completed.
If GridFrame ends the service for reasons not caused by you, we will refund the part paid for work not supplied. These terms do not limit any stronger remedy required by law.
13. Third-party services
Vercel, Neon, Cloudinary, Stripe, domain providers and other services are operated under their own terms, prices and availability. GridFrame does not control their approval, DNS timing, outages, account restrictions or future changes.
We will use reasonable care and skill when configuring included connections, but we cannot promise uninterrupted third-party service. You are responsible for maintaining those accounts and paying their charges after handover.
14. Software, ownership and licence
Your Philippe software use remains governed by the separate Philippe Standard or Pro / Agency licence. The setup service does not expand that licence.
You keep ownership of your supplied content and accounts. Styps Ltd keeps ownership of GridFrame, Philippe, Release Web, reusable software, documentation and pre-existing materials. Once amounts due are paid, you may use the configured website within the rights of your Philippe licence.
15. Care, remedies and liability
GridFrame will provide the service with reasonable care and skill. If included work does not match this Agreement, tell us promptly and give us a reasonable opportunity to correct it.
Nothing in this Agreement excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights.
Subject to that sentence, GridFrame is not responsible for indirect loss, lost profit, lost opportunity or loss caused by your content, instructions, account security, third-party service or unapproved change. For a business customer only, our total liability arising from this service will not exceed the amount that customer paid for the selected setup package, except where the law does not allow that limit.
16. Privacy and confidentiality
We handle booking and service information under the GridFrame Privacy Policy. Each party will use reasonable care to protect the other party’s confidential information and will use it only for the service, legal compliance and support.
Do not send secrets by ordinary email. The handover email explains the approved protected method when a private value is needed.
17. Complaints and contact
Please contact with the booking reference and a clear explanation. We will acknowledge the complaint and try to resolve it fairly.
Notices to GridFrame may be sent to support@gridframe.site or to Styps Ltd at 124 City Road, London, EC1V 2NX, United Kingdom. We send notices to the email address used for the booking.
18. General terms and governing law
This Agreement, the approved booking, the incorporated package description and any written change form the agreement for the service. If they conflict, the approved written change applies first, followed by the booking and then this Agreement.
If one term is unenforceable, the remaining terms continue. A delay in enforcing a right does not waive it. You may not transfer the service without written agreement.
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have jurisdiction. If you are a consumer living elsewhere in the United Kingdom, you may also have the right to use your local courts and mandatory local protections remain unaffected.
